HCL Infosystems appoints Nikhil Sinha as non-executive chairman

Three non-executive directors, S. Premkumar, D.K. Srivastava and Pawan Kumar Danwar also joined the board

New Delhi: HCL Infosystems Ltd, a part of HCL enterprise, on Friday appointed Nikhil Sinha, who has been a non-executive director on the HCL Infosystems (HCLI) board since July 2009, as the non-executive chairman of its board.

Three non-executive directors, S. Premkumar, D.K. Srivastava and Pawan Kumar Danwar also joined the board.

Sinha is also the founding vice-chancellor of Shiv Nadar University and a senior adviser to the Shiv Nadar Foundation and HCL Corp.. Nader is founder chairman of HCL.

Existing directors J.V. Ramamurthy, D.S. Puri and E.A. Kshirsagar have stepped down from the board. Both Puri and Kshirsagar had joined the HCLI board in 1998. Ramamurthy continues to be associated with the company as a director on the board of HCL Infotech Ltd, a wholly owned subsidiary of HCL Infosystems, according to a company statement.

Last month, the company had announced the appointment of two new independent non-executive directors, Sangeeta Talwar and Kaushik Dutta on its board. The new appointments on the HCL Infosystems board have been effected to fulfil upcoming requirements of the new Companies Act, as well as to get the board augmented with capabilities that are relevant for future growth, said the company.

In the past few months, HCL Corp. has increased its shareholding in HCL Infosystems from 42.85% to 49.97%.

Harsh Chitale, managing director and chief executive officer, HCL Infosystems, said the contributions of Puri and Kshirsagar “can be gauged from the fact that when they joined the board in 1998, revenue of the company stood at 700 crore and today we have a revenue in excess of 8,400 crore."
