The IPO of Canara HSBC Life consists entirely of an offer for sale (OFS) of 23.75 crore equity shares by its promoters and an investor.
As part of the OFS, Canara Bank will sell 13.77 crore equity shares, HSBC Insurance (Asia-Pacific) Holdings Ltd will sell 47.5 lakh shares, and Punjab National Bank intends to divest 9.5 crore equity shares.
Since this is an OFS, the company will not receive any funds from the public issue; instead, the money will go to the selling shareholders.
Established in 2007, Canara HSBC Life has become a significant private player in the Indian life insurance market, led by banking.

New business premiums are heavily concentrated in five states: Karnataka, Maharashtra, Kerala, Uttar Pradesh, and Tamil Nadu. This accounts for 60.6% of total new business premiums. In the absence of a dedicated agency channel, geographic expansion would largely depend on opening new bank branches or forming additional tie-ups.
Their individual weighted premium income (WPI) collected by Canara HSBC grew the 3rd highest amongst bank-led insurers between Fiscal 2022 and 2025 and was the 2nd highest year-on-year growth amongst its Peer Set for Fiscal 2025. Canara HSBC has the 3rd highest assets under management (“AUM”) amongst public sector bank-promoted led life insurers, as of March 31, 2025.
Bancassurance accounted for 92.33%, 91.71%, 87.07%, 78.71% and 57.20% of their new business premium during the 3 months ended June 30, 2025, June 30, 2024, and Fiscals 2025, 2024, and 2023, respectively.
Their distribution agreement with HSBC India, one of its group companies, offers them significant advantages as HSBC, and is ranked as the 2nd largest foreign bank by total assets in India as of March 31, 2025, managing 26 branches in India, as of January 17, 2025, and has also received approval for 20 new branches in January 2025.
The company offers a comprehensive range of life insurance products tailored for both individual and group (i.e., companies, businesses, or organizations) customers. Their offerings primarily include saving and endowment plans, term (pure protection) plans, retirement solutions, group credit life and protection plans, and the Pradhan Mantri Jeevan Jyoti Bima Yojana.

Bancassurance remains the company’s core channel, with access to over 15,700 branches across India. The partnership with Canara Bank alone provides a gateway to 117 million customers through 9,849 branches.
Looking ahead, the company intends to expand its product portfolio, deepen penetration through bancassurance, and scale up digital platforms. With strong promoters, rising profitability, and a trusted brand name, Canara HSBC Life Insurance is well-positioned to capitalize on India’s growing life insurance market .
Strategy focussing on well-diversified product portfolio and strong distribution bodes well, high dependence on bancassurance and relatively lower VNB margins compared to peers is expected to keep valuation multiples at a discount to peers.
“At upper price band, the company valued at ~1.6x Q1FY26 EV. At relatively lower valuation, downside risk remains limited, while upside potential seems to be gradual. Thus, we assign “Subscribe” for listing gains,” said ICICI Direct.
Canara HSBC Life Insurance, established in 2007, has emerged as the third-largest life insurer among public sector banks in India. As of June 2025, the company reported assets under management totaling ₹43,639.5 crore, reflecting a 6% increase from ₹41,166.4 crore in March 2025.
Canara HSBC Life Insurance Company Ltd announced on Thursday that it has secured over ₹750 crore from anchor investors, just one day prior to the opening of its initial share sale for public subscription.
