HUL Demerger: Fast-moving consumer goods (FMCG) giant, Hindustan Unilever Ltd (HUL), on Tuesday, 18 November 2025, announced that the board of directors have fixed the record date of the demerger of its ice cream business, Kwality Wall’s (India) Ltd, into a new entity.
The BSE filing showed that the board has fixed the record date for the spin-off of shares on Friday, 5 December 2025. This means that the record date will determine which shareholders of HUL will be eligible to receive the shares of the new entity.
“Fixing the Record Date under the Scheme as Friday, 5 December 2025, subject to approval of Board of Directors of HUL, for the purpose of ascertaining the eligible equity shareholders of HUL who will be entitled to be issued equity shares of KWIL pursuant to the Scheme,” the company informed the stock exchanges through its filing.
The company also announced that the demerger scheme will be effective from 1 December 2025.
HUL's move to demerge its ice cream business, Kwality Walls, was approved during a board meeting held earlier this year in May 2025. As per the demerger norms, every HUL shareholder will receive one Kwality Walls share for each HUL share owned.
“For every 1 (one) equity share of face value of Re. 1 fully paid up held in the demerged company, 1 (one) equity share of face value of Re. 1 credited as fully paid up will be issued in the resulting company,” the company said in its May 2025 filing.
Mint reported earlier that after the 1:1 share ratio demerger, HUL will own 100% of the Kwality Walls' issued and subscribed share capital.
Hindustan Unilever (HUL) share price closed 0.93% lower at ₹2,403.65 after Tuesday's stock market session, compared to ₹2,426.15 at the previous market close. The company announced its demerger record date after the market operating hours on 18 November 2025.
HUL shares have given stock market investors more than 13% returns on their investment in the last five years. However, the stock has lost 0.78% in the last one-year period.
On a year-to-date (YTD) basis, the company's shares have risen 3.53% in 2025, but are down 7.34% in the last one-month period. HUL share price is trading 0.57% lower in the last five market sessions on the Indian stock market.
Shares of the company hit their 52-week high level at ₹2,779.70 on 4 September 2025, while the 52-week low level at ₹2,136 on 4 March 2025, according to the data collected from BSE website. The company's market capitalisation (M-Cap) stood at more than ₹5.64 trillion as of the stock market close on Tuesday, 18 November 2025.
